We are looking for an individual to join us as a self-employed consultant, working with our clients 2-3 days per week.
As a Company Secretary consultant, this role presents the opportunity to guide and support governance, compliance, and company secretarial functions on a consultative basis, ensuring client organisations operate smoothly and adhere to regulatory standards. Collaborating closely with senior leadership across a varied client portfolio, you will advise on corporate governance processes and ensure compliance with legal and regulatory requirements. Your expertise will be integral to supporting board activities, maintaining statutory records, and facilitating efficient communication. Working across a diverse range of industries, you’ll gain exposure to a breadth of challenges and experiences, enhancing your consulting portfolio.
How you will make a difference
As a trusted advisor, you will shape governance and compliance frameworks, ensuring clients meet legal and regulatory standards. Providing expert company secretarial services across a portfolio that includes AIM, Main Market, Aquis, and/or large private companies, you will act as the primary contact for governance guidance, working directly with senior leaders and offering best practice insights to junior teams. In this consulting role, you’ll drive impactful results on key projects, ensuring governance processes are resilient, efficient, and aligned with each client’s unique growth objectives.
You will:
- Provide expert advice on corporate governance, ensuring full compliance with the UK Corporate Governance Code and upholding best practices across the organisation.
- Coordinate and manage Board and Committee meetings, overseeing agenda development, minute-taking, attendance, and tracking of actions for timely execution.
- Organise and lead AGMs and Shareholder Meetings, ensuring seamless compliance with all regulatory and legal requirements.
- Prepare, review, and refine the corporate governance sections of the Annual Report, guaranteeing accuracy and regulatory compliance.
- Oversee the maintenance of statutory books and group registers, ensuring that all records are accurate, current, and aligned with legal obligations.
- Administer share schemes and manage HMRC filings, ensuring all requirements are met efficiently and without disruption.
- Build and maintain strong relationships with external advisers and registrars, supporting effective governance and compliance processes.
- Ensure strict adherence to Market Abuse Regulation (MAR), Disclosure and Transparency Rules, Listing Rules/AIM Rules , and other UK legal and statutory requirements ,protecting the company’s regulatory and legal standing.
You will be ideal for this role if you:
- Are fully qualified through the Corporate Governance Institute (formerly ICSA).
- Have substantial experience as a Company Secretary within a UK PLC, or significant experience as a Senior Assistant Company Secretary.
- Exhibit strong attention to detail, with the ability to effectively prioritise tasks and delegate responsibilities as needed.
- Possess a deep understanding of commercial governance issues, with a commercially-minded approach to problem-solving.
- Have a proven track record of communicating clearly and working closely with senior stakeholders.
- Show a genuine interest in business development and actively contribute to brand-building activities.
- Demonstrate high levels of integrity and discretion in all aspects of your professional conduct.
- Have experience managing a diverse portfolio of clients, delivering consistent governance excellence.
